End-User License Agreement

This End-User License Agreement ("Agreement") governs use of Caliworks Billing (the "App"), software owned and operated by Caliworks, LLC ("Caliworks"). By connecting the App to a QuickBooks Online company or otherwise using it, you agree to this Agreement.

1. Internal-use license

The App is provided for internal use by Caliworks and its authorized personnel only. Caliworks grants its authorized personnel a limited, non-exclusive, non-transferable, revocable license to use the App for Caliworks' own billing and accounting. The App may be connected only to QuickBooks Online companies owned by Caliworks.

2. Restrictions

You may not sell, sublicense, distribute, or make the App available to any third party; connect it to a QuickBooks company you are not authorized to administer; or use it for any unlawful purpose.

3. Your responsibilities

You are responsible for the accuracy of the hours, rates and other information entered into the App, and for reviewing and approving each invoice before it is issued or recorded in QuickBooks. The App does not provide accounting, tax or legal advice.

4. QuickBooks Online and Intuit

Use of QuickBooks Online is governed by Intuit's own terms. The App accesses QuickBooks only through Intuit's authorized APIs and only with permission granted by a QuickBooks administrator, which can be revoked at any time. QuickBooks and Intuit are trademarks of Intuit Inc.; the App is not affiliated with or endorsed by Intuit.

5. Privacy

Handling of information is described in the Caliworks Billing Privacy Policy.

6. Disclaimer of warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, TO THE EXTENT PERMITTED BY LAW.

7. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, CALIWORKS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF DATA, REVENUE OR PROFITS, ARISING FROM USE OF THE APP.

8. Termination

Caliworks may suspend or end access to the App at any time. Disconnecting the App from QuickBooks ends its access to QuickBooks data.

9. Governing law

This Agreement is governed by the laws of the State of California, without regard to its conflict-of-law rules.
